Amazon Can Buy Up to $60 Billion of Qualcomm Data-Center Silicon, and Part of the Payment Structure Is a $4 Billion Warrant

On September 8, at a Goldman Sachs investor summit in San Francisco, Qualcomm and Amazon disclosed a long-term partnership under which Amazon can purchase up to $60 billion of Qualcomm AI data-center chips, systems, technology and manufacturing services over the next decade, focused on inference. The structure is unusual: Qualcomm issued Amazon warrants to acquire 25 million shares at $161.26 each, $4 billion in total, vesting in phases as Amazon engages commercially, places binding orders and actually takes delivery of equipment — with 3.75 million shares vesting immediately on the first pledges and the warrant expiring in September 2036. Bernstein analyst Stacy Rasgon estimates the immediately vested portion alone implies an initial sales commitment of roughly $9 billion. The two will also work across multiple generations of customized silicon and co-develop high-speed optical connectivity carrying up to 1.6 terabits per second inside AWS data-center networks, using Qualcomm's SerDes and optical DSP technology; reciprocally, Qualcomm will increase its use of AWS and Amazon Bedrock to shorten chip design cycles. Qualcomm has already received purchase orders and begun production, expects to recognize revenue from December, and targets $15 billion of data-center chip revenue by 2029.

$60 Billion Is the Ceiling; $9 Billion Is the Floor

This reads easily as "Amazon ordered $60 billion of chips," but the wording is that Amazon *can* purchase up to that amount, across ten years, attached to warrants that vest in stages. $60 billion is a cap, not a commitment. What actually binds is the vesting condition: tranches turn on as Amazon engages commercially, places binding orders and takes delivery. What has vested so far is 3.75 million shares, from which Bernstein's Stacy Rasgon works back to an initial sales commitment of roughly $9 billion. That is the visible floor today; the rest unlocks one notch at a time with further purchasing. Which suggests a general method for reading announcements shaped like this one: look at how much of the warrant has vested, not the headline total. The vested portion is where both sides have actually moved. The unvested portion is a letter of intent with a strike price attached.

The "Inference Only" Qualifier Matters

The partnership is explicitly aimed at inference, not training. For buyers and developers, that qualifier decides which end feels it: the training landscape doesn't shift in the near term, while inference is the bill you pay every day to run a live service — and another supplier at scale is long-run pressure on exactly that cost line. The other half is networking. The two will use Qualcomm's SerDes and optical DSP to co-develop optical connectivity up to 1.6 Tb/s inside AWS data-center networks. That says more than the chips do: once per-machine compute is stacked high enough, the bottleneck increasingly sits in bandwidth between racks, which is why a chip purchase agreement now carries an optical-interconnect clause. The reciprocal clause is worth noting too: Qualcomm commits to using more AWS and Amazon Bedrock to shorten its chip design cycles. Equity for Locked Supply Is Becoming a Template

Set this beside another deal from a few weeks earlier and the pattern is clear: Marvell's AI chip agreement with Alphabet likewise gave Google an option to purchase shares worth up to about $12.2 billion. Add Nvidia's direct investments in a set of neoclouds and the model is consistent — buyers trade equity upside for supply certainty, sellers trade locked-in customers for valuation. That puts one demand on anyone reading the figures: part of the "demand" in arrangements like this is manufactured by financial structure. Qualcomm's own target is $15 billion of data-center chip revenue by 2029, with orders in hand and revenue recognition starting in December — those are the hard markers you can check off quarter by quarter.
