Vesting Is Tied to Purchases, Not to Time
The structure is the story. Of the 58,970,907 shares, only 1,360,867 vest in equal quarterly installments over the first year regardless of revenue. The rest are split into 240 equal tranches, one unlocked for every $500 million in custom products revenue Marvell records from Google purchases, across a window running from Marvell's fiscal Q3 2027 through the end of fiscal 2033. So $12.2 billion is not a price — it is a ceiling. Google puts up no cash and earns the right to buy shares by placing orders; the more it buys, the more unlocks. Full vesting would mean Marvell had booked roughly $120 billion in custom products revenue from Google, which is exactly the range analysts have modeled. Taken all the way, Google would become Marvell's fifth-largest investor, with about 7% in potential dilution attached.
It Buys the Silicon Around the TPU, Not the TPU
The agreement covers chips built to work with Google's TPU ecosystem: AI inference accelerators, storage controllers, network interface controllers, memory interface controllers and near-memory compute. It pointedly excludes Google's flagship TPUs. That boundary is drawn cleanly — Google keeps its own silicon line in house and outsources the ring of equally necessary but less strategic parts around it, then ties the supplier down with equity. The market read it the same way that day: Marvell rose about 8% (up as much as 14% intraday) while incumbent supplier Broadcom fell about 5%, as investors priced in a new competitor for Google's orders.
Another Circular Arrangement
Deals like this are no longer novel. In October 2025 AMD gave OpenAI the option to buy up to roughly 10% of the chipmaker, and Nvidia invested $2 billion in Marvell in March through their NVLink Fusion partnership. The common shape: the chip buyer takes equity in the seller, so purchases and share price feed each other. The practical implication for readers is narrow but clear. Nothing about available compute changes in the near term; what is worth tracking is how dense these structures become. When a buyer's purchase commitment doubles as the seller's revenue guidance and the buyer's own investment return, outsiders struggle to separate real demand from financial engineering — some investors already treat "AI chips as an asset class" as a top signal. Whether that holds will only show once the tranches actually start unlocking.
